the relationship between I'mPerfect and its authorized resellers. By applying
to become a reseller, you agree to comply with all terms outlined in this
document. 

2. Eligibility Requirements

To be considered as an I'mPerfect
reseller, applicants must meet the following criteria:

- Be at least 18 years of age

- Have a valid government-issued
identification

- Possess a legitimate business
registration (for business resellers)

- Maintain a professional online or
physical retail presence

- Have a clean business history
with no fraudulent activities

- Agree to represent the I'mPerfect
brand with integrity and professionalism

 3. Application Process

3.1 Screening

All reseller applications will
undergo a comprehensive screening process, including:

- Verification of personal/business
information

- Background check

- Assessment of sales platform and
reputation

- Interview or additional
documentation request

3.2 Approval

- Approval is at the sole
discretion of I'mPerfect

- Not all applicants will be
accepted

- Rejection does not require detailed
explanation

4. Reseller Responsibilities

4.1 Brand Representation

- Resellers must represent
I'mPerfect products accurately

- No misleading marketing or false
claims about products

- Must use approved marketing
materials and brand guidelines

4.2 Pricing and Sales

- Resellers must adhere to
recommended retail pricing

- No unauthorized discounts or
bundle deals without prior approval

- Must maintain product quality and
original packaging

5. Product Procurement

5.1 Ordering (For Reseller Options
3&4)

- No minimum initial order required

- Payment must be made in full
before product shipment

5.2 Inventory Management (For
Reseller Option 4)

- Resellers responsible for
tracking and managing their inventory

- No guaranteed buy-back of unsold
merchandise

- Must maintain professional
storage conditions

6. Financial Terms

6.1 Pricing Structure (For Reseller
Option 4)

- Wholesale prices will be provided
upon approved application

6.2 Payment Terms (For Reseller
Options 3&4)

- All transactions must be fully
paid before fulfillment

- Late payments may result in
account suspension

- Accepted payment methods: Bank
transfer, Credit Card. PayMaya and GCash

7. Intellectual Property

- All product designs, logos, and
marketing materials are the exclusive property of I'mPerfect

- Resellers cannot reproduce or
modify brand materials without written consent

- Must cease using all I'mPerfect
branding upon termination of agreement

8. Termination of Reseller Status

I'mPerfect reserves the right to
terminate a reseller's status for:

- Violation of these terms

- Fraudulent activities

- Consistent poor performance

- Damage to brand reputation

- Non-compliance with sales
guidelines

9. Confidentiality

Resellers agree to:

- Keep pricing and product
information confidential

- Not share supplier details with
third parties

- Protect customer information
according to data protection laws

10. Disclaimer

- I'mPerfect is not responsible for
reseller's business performance

- No guaranteed sales or income

- Reseller assumes all business
risks

11. Modifications to Terms

- These terms may be updated
periodically

- Continued business relationship
implies acceptance of new terms

- Resellers will be notified of
significant changes.
